Investment Adviser - Replacement Resolution

The purpose of this resolution is to authorise the replacement of the current Investment Adviser with another Investment Adviser on the terms the trustee has negotiated with the replacement adviser.  To that end, it is recommended that a copy of the terms of the appointment is annexed to the resolution.

The document is a general template only and may have to be modified to suit the circumstances and requirements of trustee and the Investment Adviser.

This resolution can be used by both corporate and individual trustees

The trustee must be satisfied that the replacement Investment Adviser is appropriately licensed to provide investment advice and to deal in securities.  The replacement adviser will usually be an authorised representative of a licensed dealer or have their own dealers licence.

It is important that, in appointing the replacement Investment Adviser, the Trustee has considered whether the directions given to the Investment Adviser are consistent with superannuation legislation, the governing rules of the superannuation fund and the investment strategy of the superannuation fund.

In particular, the trustee must determine whether the replacement adviser is to have any authority to acquire and dispose of investments on behalf of the trustee, or simply to provide advice to the trustee.
